These Terms of Service (the "Terms") form a legally binding agreement between you ("you") and SUOOG™ ("SUOOG", "we") governing your access to and use of suoog.ca and any related services. By creating an account, posting a listing, completing a payment, or otherwise using the platform, you confirm that you have read, understood, and agreed to be bound by these Terms together with our Privacy Policy, Cookies Policy, and Disclaimer. If you do not agree, you may not use the platform.
SUOOG™ operates strictly as an informational classifieds directory that lets independent users in Canada advertise items to one another. We act as a neutral venue only: we do not inspect, handle, hold, store, ship, or take custody of any item, and we do not process, hold, or transfer payments between buyers and sellers — those are arranged directly between the parties. The only fees we collect are optional charges for our own platform services (paid tiers, add-ons, and identity verification) described in §6, which are separate from and unrelated to the price of any item. We are never a party to a transaction between users and assume no liability for it. See our Disclaimer for full details.
You must be at least 18 years of age and capable of forming a legally binding contract under the laws of Canada and your province or territory of residence to use the platform. By using SUOOG you represent and warrant that you meet these requirements.

Our role — an informational classifieds directory. SUOOG operates strictly as an informational classifieds directory: a neutral online venue where independent users in Canada publish advertisements for items they wish to sell. We are not the buyer, the seller, the agent, the broker, the shipper, the courier, or the escrow holder for any listing, and we never inspect, test, appraise, handle, hold, warehouse, store, ship, deliver, or take possession or custody of any item. We do not process, hold, escrow, or transfer any payment between a buyer and a seller — the price of an item is arranged and paid directly between the two users, on their own terms and at their own risk. The only payments SUOOG collects are the optional platform fees described in §6 (paid listing tiers, listing add-ons, and identity verification), which are entirely separate from, and unrelated to, the price of any advertised item. Because we are only a venue and are never a party to a transaction between users, we assume no liability for any item, listing, communication, payment, or transaction between buyers and sellers; see §13 and our Disclaimer.
The platform is provided for personal, non-commercial use to buy and sell items in Canada. You may not use the platform to operate a bulk reseller business, automated arbitrage operation, or any service that systematically extracts data, photos, or contact information from other users.

The following are strictly prohibited and will result in immediate listing removal, account suspension, and possible referral to law enforcement:
The prices in this section are the website prices, in Canadian dollars and exclusive of tax. Prices inside the SUOOG apps are set at each app store's own price points and include tax, so they may differ slightly — the price shown to you at the moment of purchase is always the price you pay. See How you are charged at the end of this section.

Optional paid add-ons can be applied to any listing at the time of publication or during an edit:
Optional one-time identity verification — CAD $5.00 earns a blue verified checkmark visible on every listing you own. Verification is processed by Stripe Identity (government-ID + selfie match) on every platform, including inside our apps; we store only the verified/not-verified result. If Stripe Identity cannot complete the check after three (3) attempts, the verification fee is refunded — how that refund is issued depends on where you paid, and is set out in Refund policy below.
Upgrades do not stack visibility time. When you upgrade a listing from Standard to Extended, the new tier’s visibility window begins on the date payment clears — any days remaining on the previous tier are discarded. The pre-checkout warning popup explains this before you pay.
Paid tiers and add-ons are charged at the time of publication. Prices are in Canadian dollars and may change with prospective effect. How you are charged, and who charges you, depends on where you buy:
Paid tier and add-on fees are generally non-refundable because the benefit (extended visibility, bump, badge, website link, etc.) is delivered immediately upon publication. We will, at our sole discretion, issue a refund in the following situations:
Where to request a refund. Refund requests must be submitted within 30 days of the charge, to whoever took the payment:
Identity verification after three failed attempts. If Stripe Identity cannot complete your check after three (3) attempts we stop the process. If you paid on this website, the fee is refunded to your card automatically and no action is needed from you. If you paid in an app, we cannot issue that refund ourselves — the store holds the payment — so we email you a link to request it from the store instead. Your listings are unaffected either way, and verification is optional.
What happens to your listing when a refund is issued. Because a refund changes what you have paid for, the affected listing is reconciled automatically according to the following rules:

Every listing is automatically screened by our moderation system before going live — its text (title, description, and location) and its photos, including any text shown inside a photo. Screening typically completes within seconds. The system rejects listings that contain contact details (a phone number, email, or website), prohibited items, or inappropriate images. We may also reject or remove a listing at any time if it violates these Terms, applicable law, or community standards. We notify you by email when a listing is approved or rejected, and provide a reason for any rejection. You may request a human review of an automated rejection by emailing contact@suoog.ca.
Strict re-screening on every edit. Every edit you make to a listing — including edits that only add a paid add-on — triggers a fresh automated screening. The listing is removed from the public feed and marked Pending until it is automatically re-screened and approved. This is intentional: it protects buyers from bait-and-switch edits after an initial approval.
A listing whose payment is still pending is not screened or approved until the payment clears (or is cancelled by you). If you cancel a checkout in progress, your listing remains on file in Pending state and you can re-attempt the payment without losing your draft.
You retain ownership of the text and photos you post. By submitting content to the platform you grant SUOOG a worldwide, non-exclusive, royalty-free, sub-licensable license to host, store, reproduce, adapt, publish, translate, and distribute that content solely for the purpose of operating, promoting, and improving the platform. This license terminates when your content is deleted, except that we may retain anonymized aggregate copies for analytics and tax records as described in our Privacy Policy.
The platform, including its source code, design, logos, trademarks (SUOOG™), text, graphics, and the underlying technology, is owned by SUOOG and protected by Canadian and international intellectual property laws. You may not copy, modify, distribute, sell, or reverse-engineer any part of the platform without our prior written consent.
Third-party intellectual property — notice and takedown. SUOOG respects the intellectual-property rights of others; §5 prohibits counterfeit goods and infringing listings, and every listing passes automated moderation before publication. If you are a rights holder (or their authorized agent) and believe a listing infringes your copyright, trademark, or other intellectual-property rights, email contact@suoog.ca with: (a) the URL of the listing, (b) identification of the protected work or mark, (c) evidence of your rights (such as a registration number) and your contact details, and (d) a good-faith statement that the use is not authorized by you or the law. We review takedown notices within two (2) business days, remove listings we determine to be infringing, and suspend or permanently terminate the accounts of repeat infringers. Where a claim is contested, the reporting seller may be given an opportunity to respond before final action.
The platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. SUOOG disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. See our full Disclaimer.
To the maximum extent permitted by law, SUOOG, its officers, directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of profits, data, goodwill, or reputation — arising out of or related to your use of the platform, any user-to-user transaction, or any third-party service we integrate with. Our aggregate liability under any theory of law shall not exceed the greater of (i) CAD $50 or (ii) the fees you paid to SUOOG in the three (3) months preceding the event.
You agree to defend, indemnify, and hold harmless SUOOG and its affiliates from any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of your use of the platform, your listings, your transactions with other users, your violation of these Terms, or your violation of any applicable law or third-party right.
We may suspend or permanently terminate your account at any time, with or without notice, if we believe in good faith that you have violated these Terms, posed a risk to other users, or used the platform unlawfully. You may delete your account yourself at any time from Dashboard → Account Settings → Delete Account — this permanently and irreversibly erases your profile, all of your listings, and every photo you have uploaded — or by contacting contact@suoog.ca. Financial records (such as Stripe invoices) are retained where tax or accounting law requires. Sections 10-14, 17, and any obligation accrued before termination survive any termination.
Revocation of verified status. Separately from full account termination, we may revoke your blue verified checkmark at our discretion if we believe in good faith that you have violated these Terms or attempted to abuse the verification process (including misuse of a verified identity to defraud buyers). Revocation removes the badge from every listing you own but does not by itself delete those listings; the listings remain visible without the verified mark. A revoked user may re-verify by paying the identity-verification fee again and completing Stripe Identity. Revocation does not trigger a refund of the original verification fee.
Before initiating any formal legal proceeding, you agree to first contact us at contact@suoog.ca and attempt to resolve the dispute in good faith for at least 30 days.
If the dispute cannot be resolved informally, you and SUOOG agree to resolve it through binding arbitration administered under the rules of the ADR Institute of Canada, conducted in English in Toronto, Ontario, unless you reside in a province where mandatory consumer-protection law gives you the right to bring the dispute before its courts.
To the extent permitted by law, both parties waive any right to participate in a class action, class arbitration, or any representative proceeding.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without reference to conflict-of-law principles. Subject to Section 16, you agree to submit to the exclusive jurisdiction of the courts of Ontario, located in Toronto.
Neither party shall be liable for any delay or failure to perform caused by events beyond reasonable control, including acts of God, war, terrorism, civil disturbance, labor disputes, pandemic, internet outage, power failure, or actions of any third-party service provider.
We may modify these Terms from time to time. Material changes will be communicated by email or an in-platform notice at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force. These Terms, together with our Privacy Policy, Cookies Policy, and Disclaimer, constitute the entire agreement between you and SUOOG and supersede any prior agreements concerning the platform.
